The Role of the Hospital Board of Directors

Provincial legislation mandates
that public hospitals in Ontario are governed by a board of directors that
holds fiduciary responsibility for ensuring financial oversight, setting
strategic priorities to meet the patient needs of the community, and overseeing
the quality of care provided by the hospital.
Hospitals are not-for-profit
corporations; therefore, board members serve as volunteers without renumeration,
representing both the hospital and the community.
Boards play a critical role in
shaping the overall direction of hospitals and must carefully review and
approve recommendations with diligence and thoughtful consideration. While the
board provides oversight and strategic direction, it does not manage the
hospital’s day-to-day operations, which are led by the hospital’s leadership
team.
Another important element of the
hospital board’s governance responsibilities is overseeing and approving the
appointment and reappointment of professional medical staff, in partnership
with medical leadership.
A well-rounded board is typically
composed of a diverse group of qualified individuals who bring a broad range of
experience, perspectives, backgrounds, and expertise to support informed
decision-making.
